Federal Tax Implications

As a U.S. person, you are always required to file federal tax returns, even if you live abroad or operate through an offshore entity in the Cayman Islands, BVI, Seychelles etc.

A Wyoming LLC does not reduce federal tax obligations, but it can provide operational and cost-saving advantages over offshore structures. Of course, operating through a company in a tax haven like the Cayman Islands, Singapore, the British Virgin Islands, etc., has it advantages.​

A Wyoming LLC may elect to be taxed, for federal tax purposes, as:

  • Disregarded Entity

  • Partnership.

  • Taxed as a C-Corporation.

Do You Need an EIN for a Wyoming LLC?

A single-member Wyoming LLC does not need an EIN, and may operate under the Owner's SSN unless:

  • It hires employees.

  • A bank requires it instead of the owner’s SSN.

Multi-member LLCs taxed as Partnerships must obtain an EIN as the EIN is needed to file Form 1065.

As long as one of the members is a US person with a SSN, we can obtain the EIN immediately by requesting the EIN on the IRS platform.

State Tax Implications

Wyoming does not levy income tax at the State level.  Wyoming only charges an annual tax of US$60 if the LLC doesn't have assets in Wyoming.

Wyoming LLC vs. Offshore Companies (BVI, Cayman, etc.)

Comparing a Wyoming LLC vs other offshore companies in other tax havens is not a black-and-white situation, as for US Persons having an offshore company in jurisdictions like the British Virgin Islands, Singapore, do not only give them a tax free situation, but also access to foreign business opportunities, the ability to operate under a line of business that might be restricted in the US (for example, crypto related businesses or funds), etc.., in spite of this, it is worth noting:

The U.S. taxes worldwide income, meaning offshore company structures often provide no tax benefit unless they meet strict economic substance requirements.

 

Wyoming LLCs offer a similar structure to offshore companies without the high costs and compliance burdensof jurisdictions like the British Virgin Islands or Cayman Islands.

 

If an offshore company lacks real economic activity in its country of formation, U.S. tax law (CFC rules) may still subject its income to U.S. taxation, even if profits are not distributed.
